Sales Terms and Conditions
Editly – Video Editing Agency Specialized in YouTube

1. Purpose
These Terms and Conditions of Sale (TCS) define the respective rights and obligations of Editly (hereinafter referred to as "the Service Provider") and the client (hereinafter referred to as "the Client") in the context of the sale of video editing services.
2. Offered Packages
Editly offers two video editing packages:
“1 Video” Package – €350 VAT included
“3 Videos” Package – €950 VAT included
Each video includes:
An advanced branding strategy
2D and 3D motion design
Optimized messaging
Dynamic storytelling
Duration between 45 seconds and 1 minute 30 seconds
The two packages differ only in the number of videos delivered (1 or 3).
3. Service Process
Submission of materials: The Client provides footage, instructions, and documents via Google Drive or Notion.
Editing start: The project begins upon full receipt of all materials.
First delivery with watermark: A watermarked version of the video is sent to the Client for approval.
Payment: An invoice is issued at this stage. Payment must be made to receive the final version.
Final delivery: The watermark-free version is delivered after payment is received.
4. Delivery Times
“1 Video” Package: Delivery within 3 to 5 business days per video.
“3 Videos” Package: Delivery within 9 to 14 business days for all three videos.
Deadlines are indicative. A reasonable margin is allowed, especially in case of temporary overload or technical issues.
Any delay caused by the Client (late submission of files, delayed validation or feedback, etc.) will suspend delivery times accordingly.
5. Order and Payment
The order is confirmed upon full receipt of files and project confirmation.
A first watermarked version is sent for Client approval.
The Client receives an invoice at this stage.
Payment is due immediately upon receipt of the invoice and no later than 7 calendar days.
Once payment is received, the watermark-free version is delivered.
⚠️ In case of non-payment, Editly reserves the right to withhold the final delivery and retain the exploitation rights on the edited material.
6. Revisions
Each video includes two rounds of minor revisions, which:
Include adjustments to pacing, transitions, text, colors, and minor effects;
Do not cover structural changes (complete overhaul, change of tone, brief, or addition of new files).
Any additional requests will be subject to a specific quote based on the scope of work. Work will resume only after written acceptance of the quote.
7. Client Obligations
The Client commits to:
Provide complete, usable files over which they hold rights;
Clearly define their expectations;
Respect deadlines for feedback and approvals to avoid delays;
Pay invoices within the agreed deadlines.
8. Intellectual Property
The final video becomes the Client’s property only after full payment and delivery of the watermark-free version.
Until payment is received, the watermarked version remains the exclusive property of Editly and may not be used, published, or distributed in any form.
Any unauthorized use of the watermarked version constitutes copyright infringement and may result in legal action.
9. Liability
Editly shall not be held liable for:
Content transmitted by the Client that is protected or illegal;
Underperformance of videos on platforms such as YouTube, Instagram, etc.;
Indirect damages, including loss of revenue, audience, or reputation.
10. Cancellation and Refunds
The Client may cancel the order as long as no work phase has started.
Once production begins (organization, briefing, editing prep, etc.), fees and charges will be deducted from any refund.
Refunds will be partial, based on expenses incurred (coordination time, storage, preparations, etc.).
Refund requests must be submitted in writing within 2 days of the order.
11. Confidentiality
All exchanges, content, and files shared during the service are confidential and will not be shared with third parties without express authorization.
Source files are deleted after final delivery unless otherwise agreed.
12. Data and Platforms Used
The Service Provider uses Notion and Google Drive for project management and file transfers.
The Client is responsible for backing up their own files once delivered.
13. Governing Law and Jurisdiction
These TCS are governed by French law.
Any dispute relating to the interpretation or execution of these terms will be subject to the exclusive jurisdiction of the courts of Toulouse, where Editly’s headquarters are located.
14. Acceptance of Terms
Order confirmation, even without immediate payment, implies full acceptance of these Terms and Conditions.
The Client acknowledges that the final watermark-free delivery is conditional upon full payment.
