Terms and Conditions
Last updated: 13 October 2026
1. Who we are and who these Terms apply to
1.1 These Terms govern all services provided by Frédéric Thomas EI, trading as Editly, SIREN 938 336 047, 19 rue Saint-Louis, 31500 Toulouse, France ("Editly"), to its clients ("the Client").
1.2 Editly works only with businesses. By placing an order, the Client confirms that it acts for purposes relating to its trade, business or profession. Consumer protection rules, including any right of withdrawal, therefore do not apply.
1.3 The contract consists of, in order of precedence: (1) the signed quote or order form, (2) these Terms, (3) the description of the offer on editly.pro. The Client's own purchasing terms do not apply unless Editly accepts them in writing.

Two languages
2.1 Video length is the duration of the main video, within ±5 seconds, excluding the closing logo card.
2.2 "Two languages" means the video is delivered in its original language and in one second language: translated script, a second professional voice-over and adapted on-screen text. The Client chooses both languages at onboarding and approves the translated script. Languages depend on the availability of voice talent, confirmed in the quote.
2.3 "Two openings for A/B testing" means two alternative versions of the first seconds of the same video. The rest of the video is identical.
2.4 "Ready to publish" means the final files are delivered in the export formats listed above. Anything not listed in this table or in the quote (extra length, formats, languages, source files, filming, premium stock assets) is quoted separately.
3. Ordering
3.1 A quote is issued after a discovery call and is valid for 30 days. The order is firm once Editly has received both (a) the signed quote or the Client's online acceptance of these Terms, and (b) the deposit set out in Article 4. Electronic signature and online acceptance have the same legal value as a handwritten signature (Articles 1366 and 1367 of the French Civil Code).
3.2 Editly may decline any project, in particular content that is unlawful, misleading, defamatory, hateful, sexually explicit, or that infringes third-party rights.
4. Prices, taxes and payment
4.1 Prices are stated in the quote, in USD, excluding taxes.
4.2 Payment schedule:
30% deposit, invoiced at order and payable before work starts. The deposit is non-refundable, except in the cases set out in Articles 7.7 and 11.4.
70% balance, invoiced on Delivery of the watermarked final video (Article 8), payable within 7 days of the invoice date.
4.3 Payment is made through Stripe (card or bank transfer) or by bank transfer to the account shown on the invoice. Bank fees and currency conversion costs are paid by the Client, so that Editly receives the full invoiced amount.
4.4 Taxes. Editly is under the French VAT franchise scheme (Article 293 B of the French General Tax Code) and charges no French VAT. For Clients established in another EU Member State, the service is taxable in the Client's country and the Client accounts for VAT under the reverse-charge mechanism (Article 196 of Directive 2006/112/EC); the Client provides its VAT number before invoicing. For Clients established outside the EU, French VAT does not apply (Article 259-1 of the French General Tax Code). If the law of the Client's country requires a withholding on payments, the Client increases the payment so that Editly receives the full invoiced amount.
4.5 Late payment. Any amount unpaid on its due date automatically bears, without prior notice, interest at three times the French legal interest rate, plus a fixed recovery fee of €40 per invoice, and any further recovery costs on proof (Articles L441-10 and D441-5 of the French Commercial Code). Editly may suspend all work and deliveries until full payment. The delivery period is extended by the length of the suspension and late-delivery penalties do not run during it.
4.6 Payment disputes. Opening a chargeback or payment dispute without first raising the issue in writing with Editly is a breach of contract. The amount reversed remains due, and the rights in Article 9 are not transferred, or revert to Editly, until it is paid.
5. How a project runs
5.1 Every project follows these stages, each starting only after the previous one is approved:
Discovery call.
Order and payment of the 30% deposit.
Onboarding: within 3 business days, the Client sends its brief, brand guidelines, logos, product screens or footage, and any access needed.
Script.
Voice-over.
Storyboard and animation.
Music and sound design.
Delivery of the watermarked final video.
Payment of the 70% balance, then delivery of the final files.
5.2 Approval is given in writing by the Client's single point of contact, by email or by comment in the shared workspace. An approved stage is final.
5.3 The Client has 5 business days to approve or comment on each deliverable. Without a reply within that time, Editly sends a reminder; without a reply 2 business days after the reminder, the stage is deemed approved and the next one starts.
5.4 Because the voice-over is recorded from the approved script, and the animation is built on the recorded voice-over, any change to the script after recording requires a new recording. It is a change request (Article 6.4), billed at cost.
6. Revisions
6.1 A revision is a change to the deliverable of the current stage that stays within the approved brief and the previously approved stages: wording, timing, colours, placement of elements, choice of music within the proposed selection.
6.2 Launch video: 2 rounds of revisions per stage.
6.3 Launch pack: unlimited rounds of revisions per stage, provided that each round is a single consolidated list of feedback sent by the Client's point of contact and concerns the current stage only. Feedback that reverses a change the Client requested and Editly implemented in an earlier round of the same stage counts as a change request.
6.4 Change requests are outside the revisions included in any offer. They include a new concept, a new script structure, a change of brief or target audience, changes to an approved stage, new product features or footage supplied after work started, and extra length, formats or languages. Editly quotes them in writing; work starts once the Client accepts the quote, and the delivery period is extended accordingly.
6.5 Editly returns each revision round within [2] business days. That time is added to the delivery period.
7. Delivery period and late-delivery penalties
7.1 The delivery period is 10 business days for the Launch video and 15 business days for the Launch pack. Business days are Monday to Friday, excluding French public holidays.
7.2 The delivery period starts on the business day following the later of: receipt of the deposit, and receipt of all onboarding materials.
7.3 The delivery period counts only the time Editly is working on the project. It is extended by: the time between each submission for review and the Client's written reply; the time needed for each revision round (Article 6.5); change requests; any late payment; force majeure; and any delay caused by the Client or its providers (missing materials, access, approvals).
7.4 "Delivery" means the sending of the watermarked final video consistent with the approved stages.
7.5 If Delivery occurs more than 5 business days after the end of the delivery period as extended under Article 7.3, Editly owes a penalty equal to 5% of the project price excluding taxes for each business day of delay beyond those 5 days, capped at 30% of the project price.
7.6 Penalties are deducted from the balance or, if the balance is already paid, refunded within 15 days. They are a fixed indemnity in full compensation for late delivery and are the Client's sole remedy for it. They do not apply where the delay results from the Client, from an unpaid invoice or from force majeure. The Client must claim them in writing within 30 days of Delivery.
7.7 If Delivery has not occurred 20 business days after the end of the delivery period as extended, for reasons attributable solely to Editly, the Client may terminate the contract by written notice. Editly then refunds all amounts paid, and no penalty is due in addition.
8. Delivery and final files
8.1 The final video is first delivered with a watermark. The Client has 5 business days to report, in writing, any point where it does not match the approved stages; Editly corrects these at no cost. Without such a report, the video is accepted.
8.2 Within 2 business days of receiving the balance, Editly delivers the final files without watermark, in the export formats of the offer, via a download link.
8.3 The watermarked version is licensed for internal review only. Publishing it, or any version of the video, before full payment is prohibited and constitutes copyright infringement.
8.4 Source files (e.g. After Effects or Premiere projects) are not included unless the quote says so. Editly keeps project files for 6 months after Delivery and may then delete them. The Client is responsible for keeping copies of its final files.
9. Intellectual property
9.1 Until full payment of the price, Editly retains all rights in the work produced.
9.2 On full payment, Editly assigns to the Client, on an exclusive basis, the economic rights of reproduction, public communication and adaptation of the final delivered video, including the right to cut, reformat, subtitle, translate and integrate it into advertising. The assignment covers any commercial and non-commercial use, on all media and channels (websites, social networks, paid advertising, presentations, television, events), worldwide, for the full legal duration of copyright protection. The price includes this assignment. Editly does not require an on-screen credit.
9.3 The assignment does not cover: source files, drafts and unused concepts; Editly's tools, templates, presets and reusable design assets; and the third-party elements described in Article 9.4.
9.4 Third-party elements. Music, sound effects, stock footage, fonts and voice-over are licensed from their rights holders. Editly secures licences that allow the Client to use the final video for the uses in Article 9.2, unless the quote states a narrower scope, and provides the licence references on request. The Client may not extract these elements to reuse them separately, nor use the voice-over recording to train an AI model or to create a synthetic voice. If a platform's automated system flags the music, Editly provides the licence documentation needed to clear the claim.
9.5 Tools. Editly may use software, including AI-assisted tools, in its production work. Editly does not replace the professional voice-over with a synthetic or cloned voice without the Client's written consent, and does not upload the Client's confidential materials to tools that use customer content to train their models.
9.6 Client materials. The Client grants Editly a non-exclusive licence to use its materials (logos, trademarks, screens, footage, texts) for the project and for the uses in Article 10. The Client warrants that it holds all rights needed for these materials, including the consent of any person who appears in them, and indemnifies Editly against any third-party claim relating to them.
10. Portfolio and marketing use
10.1 The Client authorises Editly to show the final video, excerpts and stills, together with the Client's name and logo, as a reference in its portfolio, website, social media, advertising, case studies and sales presentations, worldwide, for the duration of copyright protection.
10.2 Editly does not publish the video before the Client has released it publicly, and at the latest 6 months after Delivery, unless the Client requests a longer embargo in writing before Delivery.
10.3 A Client who does not want the video shown at all must say so before signing; this is then stated in the quote and may change its price.
11. Firm commitment, cancellation and termination
11.1 The order is a firm commitment for the whole project. The Client may not cancel the project once production has started.
11.2 If the Client nevertheless stops the project, either by notice or by sending no reply or materials for 20 business days after a written reminder, the Client owes the costs already incurred, set at the following share of the project price according to the stage reached:
From the order until the script is approved: 30% (the deposit)
Script approved, voice-over in progress: 50%
Voice-over approved, storyboard and animation in progress: 80%
Animation approved: 100%
Third-party costs already committed (voice talent, translation, licences) are added where they exceed these amounts. The rights in Article 9 transfer only if the Client pays the full price.
11.3 Editly may terminate the contract by written notice if an invoice remains unpaid 15 days after a formal reminder, or if the Client seriously breaches these Terms, including abusive behaviour towards Editly's team. The amounts in Article 11.2 for the stage reached remain due.
11.4 If Editly seriously breaches the contract and fails to remedy the breach within 10 business days of written notice, the Client may terminate it and Editly refunds the amounts paid for stages not delivered.
12. Client responsibilities and compliance of the content
12.1 The Client provides on time the materials, information and approvals needed, and appoints a single point of contact who has authority to approve each stage.
12.2 The script is written from information supplied by the Client. By approving it, the Client takes responsibility for its content: the accuracy of claims about its product, performance figures, prices, comparisons with competitors and testimonials, and their compliance with advertising and consumer law in every country where the video is shown, including rules on regulated sectors (health, finance, crypto-assets, gambling) and endorsement disclosures.
12.3 Editly is not liable if an advertising platform rejects or restricts the video under its own policies.
13. Confidentiality
Each party keeps confidential the non-public information it receives from the other during the project, for the duration of the project and 3 years after it ends. This does not apply to information that is public, already known to the receiving party, or that must be disclosed by law, nor to the uses permitted by Article 10.
14. Personal data
14.1 Editly's own processing of personal data is described in its Privacy Policy.
14.2 When the Client's materials contain personal data (people appearing in footage, names, customer data visible on screens, testimonials), Editly processes that data as a processor on the Client's behalf, under Article 28 of the GDPR. Editly then: processes it only to produce the video, on the Client's documented instructions; ensures that everyone working on the project is bound by confidentiality; applies appropriate security measures (individual accounts, two-factor authentication, restricted access); uses only the sub-processors listed in its Privacy Policy, which the Client authorises, and informs the Client of any change so that it can object; assists the Client in answering requests from data subjects; notifies the Client of any personal data breach without undue delay; and deletes the data 6 months after Delivery, unless the law requires otherwise.
14.3 The Client is responsible for having a lawful basis for sharing this data, including the consent of people whose image or voice appears in its materials.
15. Liability
15.1 Editly provides its services with professional care, under a best-efforts obligation. It does not guarantee any commercial result, such as conversions, sales, views, return on ad spend, or the outcome of an A/B test.
15.2 Editly is not liable for indirect losses, including lost revenue, lost profit, lost opportunity or damage to reputation.
15.3 Editly's total liability for a project, all causes combined and including late-delivery penalties, is limited to the price paid by the Client for that project. This limit does not apply in case of gross negligence or wilful misconduct.
15.4 Any claim against Editly must be brought within one year of Delivery (Article 2254 of the French Civil Code).
16. Subcontracting and independence
16.1 Editly may entrust part of the work to independent professionals, in France or abroad, bound by confidentiality and by an assignment of their rights to Editly. Editly remains solely responsible to the Client.
16.2 The parties are independent. Editly may work for other clients, including the Client's competitors, without disclosing the Client's confidential information.
17. Force majeure
Neither party is liable for a failure caused by force majeure as defined in Article 1218 of the French Civil Code. Obligations and deadlines are suspended for its duration. If it lasts more than 30 days, either party may terminate the contract by written notice; the stages already completed remain payable.
18. General provisions
18.1 Communications and approvals by email, to the addresses given in the quote, are valid written notices.
18.2 The version of these Terms accepted at the time of the order applies to that order.
18.3 If a clause is held invalid, the other clauses remain in force. A party's failure to enforce a clause is not a waiver of it.
18.4 The Client may not transfer the contract without Editly's written consent.
19. Governing law and disputes
19.1 These Terms are governed by French law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
19.2 The parties will first try to settle any dispute amicably within 30 days of written notice.
19.3 Failing that, the courts of Toulouse, France, have exclusive jurisdiction. Editly may also bring proceedings before the courts of the Client's domicile.
19.4 These Terms are drafted in English, which is the binding language. Any translation is for information only.
